Terms of Service

1. Educational Use & No Professional-Client Relationship

The calculators, models, cloud-hosted engines, and interactive tools provided on this website are for conceptual, educational, and informational purposes only. Use of these tools does not constitute a Professional Engineering relationship, nor does it establish an attorney-client or expert-client privilege. A formal Professional Services Agreement (PSA) must be fully executed before any binding consulting, custom modeling, engineering design, or litigation support services commence.

2. Limitation of Liability for Interactive Models

Lillywhite Water Solutions LLC provides cloud-based digital twins, calculators, and API endpoints "as is" and without warranties of any kind, whether express or implied. Lillywhite Water Solutions LLC assumes no liability for the accuracy, completeness, or usefulness of the mathematical outputs. Numerical instability, inherent model approximations, and input errors may lead to inaccurate results. Any direct application of these tools to municipal infrastructure, industrial operations, or life-safety systems without independent, licensed verification is strictly prohibited and at the user's sole risk. In no event shall Lillywhite Water Solutions LLC's aggregate liability to any user or third party exceed the total fees actually paid by such user to Lillywhite Water Solutions LLC in the twelve (12) months preceding the claim, or one hundred dollars ($100.00), whichever is greater.

3. Intellectual Property Rights

All materials produced, including web applications, dashboard interfaces, API schemas, and underlying source code developed by Lillywhite Water Solutions LLC remain the exclusive intellectual property of Lillywhite Water Solutions LLC. Web-enabled access does not grant the user any license to copy, reverse-engineer, mass-scrape, or independently commercialize the mathematical models or the web application code without the prior, explicitly executed, written permission of Lillywhite Water Solutions LLC.

4. Third-Party Embedding and Hosting

If you or your organization choose to embed Lillywhite Water Solutions LLC's web-based programs or dashboards into your own website or application, you assume full responsibility for how the information is presented to your end-users. Lillywhite Water Solutions LLC does not indemnify third parties against claims arising from decisions made by their downstream users based on Lillywhite Water Solutions LLC's hosted simulations. API access limits and rate limits apply and may be revoked at any time.modified or revoked upon thirty (30) days' prior written notice to the registered contact on file; provided, however, that Lillywhite Water Solutions LLC reserves the right to suspend or revoke API access immediately and without notice for cause, including but not limited to a material violation of these Terms of Service, abuse of API resources, or actions that threaten the security or integrity of the platform.

5. Data Collection and Usage

When interacting with the public cloud models, your simulation input data and telemetry may be recorded for performance diagnostics, traffic logging, and feature improvement. However, any confidential documentation securely uploaded via an authenticated client portal will be governed by a separate Non-Disclosure Agreement (NDA) when applicable. Lillywhite Water Solutions LLC maintains reasonable security measures to protect user data from unauthorized access, disclosure, or loss. In the event of a security breach affecting personal information, Lillywhite Water Solutions LLC will provide notification to affected Washington State residents as required by RCW 19.255.010. Lillywhite Water Solutions LLC will take all reasonable steps to destroy or arrange for the destruction of personal financial and health information in accordance with RCW 19.215. A full description of data collection, use, retention, and your rights with respect to such data is set forth in the Lillywhite Water Solutions LLC Privacy Policy, which is incorporated herein by reference and available on the website.

6. Litigation & Expert Witness Support

Any materials, opinions, or models generated during litigation support remain subject to the terms of the specific retention agreement. Preliminary discussions via email or other non-portal communications do not constitute a formal retention of expert services and are not confidential unless and until a retention agreement is executed. Notwithstanding the foregoing, any documents or materials uploaded by a prospective client through the authenticated secure client portal will be treated as confidential and subject to reasonable security protections, regardless of whether a formal retention agreement has been executed, provided that such treatment shall not be construed as establishing an expert-client privilege or a formal retention relationship.

7. Consulting Intake & Right to Refusal

Lillywhite Water Solutions LLC requires all prospective clients to complete the Consulting Intake form in its entirety before any project discussions, scoping, or proposals can commence. Lillywhite Water Solutions LLC reserves the right to review this intake information and, at its sole discretion, decline to pursue the project or offer services to any individual or organization; provided, however, that such refusal shall not be made on the basis of any characteristic protected under applicable federal, state, or local law, including but not limited to race, color, national origin, sex, disability, or age.

8. Governing Law; Dispute Resolution

This Terms of Service and any dispute arising out of or related to your use of the website, tools, or services of Lillywhite Water Solutions LLC shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. Any legal action or proceeding arising under or related to this Terms of Service shall be brought exclusively in the state or federal courts of competent jurisdiction located in King County, Washington, and the parties hereby consent to personal jurisdiction and venue in such courts. Nothing in this section shall limit Lillywhite Water Solutions LLC's right to seek injunctive or other equitable relief in any court of competent jurisdiction.

9. Modifications to Terms of Service

Lillywhite Water Solutions LLC reserves the right to modify these Terms of Service at any time. In the event of a material modification, Lillywhite Water Solutions LLC will provide at least thirty (30) days' advance notice by posting the updated Terms of Service on the website and, where practicable, by notifying registered users via the contact information on file. Your continued use of the Services following the effective date of any modification constitutes your acceptance of the modified Terms of Service. If you do not agree to the modified terms, you must discontinue use of the Services prior to the effective date of the modification.

10. General Provisions

(a) Severability. If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect. (b) No Waiver. The failure of Lillywhite Water Solutions LLC to enforce any right or provision of these Terms of Service shall not constitute a waiver of future enforcement of that right or provision. (c) Entire Agreement. These Terms of Service, together with any applicable Professional Services Agreement, Non-Disclosure Agreement, and the Lillywhite Water Solutions LLC Privacy Policy, constitute the entire agreement between you and Lillywhite Water Solutions LLC with respect to your use of the Services, and supersede all prior and contemporaneous agreements, representations, and understandings relating to the subject matter hereof.
